Terms and Conditions

PREDL SYSTEMS OF NORTH AMERICA INC.

1.01 Relationship
Nothing contained in these terms and conditions will be deemed to create any partnership, joint venture or relationship of principal and agent between the parties or to provide either party with the right, power or authority, whether express or implied, to create any duty or obligation on behalf of the other party.

1.02 Entire Agreement
These terms and conditions constitutes the entire agreement between the parties with respect to the subject matter hereof and cancels and supersedes any prior understandings and agreements between the parties with respect thereto. There are no representations, warranties, terms, conditions, undertakings or collateral agreements, express, implied or statutory, between the parties other than as expressly set forth in these terms and conditions.

1.03 Remedies
The Recipient agrees that monetary damages would not alone be sufficient to remedy any breach by the Recipient or the Recipient’s Representatives of any term or provision of these terms and conditions and that Predl Systems will also be entitled to equitable relief, including injunction and specific performance, in the event of any breach hereof and in addition to any other remedy available pursuant to these terms and conditions or at law or in equity. The Recipient further waives any requirement for the deposit of security or posting of any bond in connection with any equitable remedy.

1.04 Governing Law
These terms and conditions is governed by and will be construed in accordance with the laws of the Province of British Columbia and the laws of Canada applicable therein.

1.05 Attornment
For the purpose of all legal proceedings these terms and conditions will be deemed to have been performed in the Province of British Columbia and the courts of the Province of British Columbia will have jurisdiction to entertain any action arising under these terms and conditions. The Recipient hereby attorns to the jurisdiction of the courts in the Province of British Columbia.

1.06 Counterparts
These terms and conditions may be executed in counterparts, each of which will be deemed to be an original and both of which taken together will be deemed to constitute one and the same instrument.

1.07 Privacy
The Recipient agrees that personal and project information can be used for the purpose of marketing and promotional activities.

1.08 Term
These terms and conditions shall remain in full force and effect for perpetuity.
